Fixio Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Fixio app and associated services (collectively, the “Services”). The Services are provided by Radikal NV, a Belgian company with its principal place of business at Veldkant 35C, 2550 Kontich, Belgium . Throughout these Terms, “Fixio,” “we,” “us” and “our” refer to Radikal NV, and “you” or “your” refer to the merchant, business or individual using the Services.
By installing or using Fixio in connection with your Shopify store, you agree to be bound by these Terms. If you do not agree with any part of these Terms, do not install or use the Services.
1. The Services
Fixio is a service‑management application that integrates with Shopify POS. It allows merchants to create and manage repair or service tickets; customize service categories, statuses and workflow steps; capture partial or full payments; and automate notifications. Key functionality includes:
Service ticket creation and management. Merchants can create service tickets in the Fixio Admin or POS dashboard, link them to existing purchases or custom products, record categories and statuses, attach a description and images, link a customer and save the ticket . Tickets may be searched, filtered and sorted by location, category or status, and status changes sync in real time across Admin and POS .
Payments and checkout. Fixio supports deposit/partial payments and full payments; all payments create or update a Shopify order that links back to the service ticket . In the Admin interface, merchants can capture partial or full payments through the service ticket . In the POS interface, merchants can capture payment and complete checkout as usual .
Settings and customization. Merchants can define service categories with default estimated prices, customize workflow statuses (such as “Waiting for Parts”), enable multi‑location support so tickets are tagged with the relevant point‑of‑sale location, and flag tickets that are under warranty .
Notifications and automation. Fixio offers triggers such as “Service Created” or “Service Status Updated.” For example, merchants can use Shopify Flow to send an email when a service status is changed to “Ready for Pickup” .
2. Eligibility and Merchant Accounts
You must be at least eighteen (18) years old and capable of forming a binding contract to use the Services. By using the Services on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
You are responsible for maintaining the security of your Shopify and Fixio account credentials and for all activities that occur under your account. You agree to promptly notify us of any unauthorized use or suspected security breach.
3. License and Ownership
Subject to your compliance with these Terms and payment of any applicable fees, Radikal NV grants you a limited, revocable, non‑exclusive, non‑transferable license to access and use the Services solely for your internal business purposes. The Services and all related software, documentation, logos, trademarks and content are owned by Radikal NV or its licensors and are protected by intellectual‑property laws. You may not copy, modify, reproduce, distribute, or create derivative works based on the Services without our prior written consent.
4. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. In using the Services you must not:
Violate any applicable law, regulation or industry standard (including consumer‑protection and data‑privacy laws).
Upload, transmit or store any content that is unlawful, abusive, defamatory, obscene or otherwise objectionable.
Attempt to gain unauthorized access to the Services or related systems or networks.
Introduce any virus, malware, Trojan horse or other harmful code.
Interfere with or disrupt the integrity or performance of the Services or data contained therein.
Resell, sublicense or otherwise commercially exploit the Services except as expressly permitted.
5. Payments and Fees
Fixio facilitates deposit, partial and full payments for services and repairs through Shopify’s payment processing system . All payment processing is handled directly by Shopify; Fixio does not store any payment card details . Any payment terms or refunds are governed by your relationship with Shopify and your end customers.
Radikal NV may charge subscription or usage‑based fees for the Services. If fees apply, they will be disclosed at the time you subscribe. Unless otherwise stated, all fees are non‑refundable and exclusive of taxes. You authorize Radikal NV or our payment processors to charge your selected payment method for all applicable fees.
6. Data Protection and Privacy
Our collection, use and sharing of personal information are described in the Fixio Privacy Policy. In summary:
Data we collect. We collect the merchant’s store name and ID, contact information and Shopify store data . We also store certain customer‑related data such as the customer’s name, customer ID, order ID, product ID and location ID . Repair‑service data (descriptions, categories, pricing, statuses, timeline comments and images) and payment order IDs are stored to operate the Services .
No payment card data. Fixio does not store payment card details; all payment processing is conducted via Shopify .
Purpose of collection. We use and retain data only as necessary to operate the Services—creating and managing repair tickets, tracking statuses and timelines, handling payments, displaying relevant customer/order/product information, sending notifications, providing support and improvements, and conducting usage analytics .
Data sharing. We may share data with Shopify to access store and order data, with Mantle for support and communication, with Gadget.dev for app hosting and data storage, and with Google Analytics for usage analytics . We do not sell or rent your data .
Retention and deletion. Merchant and service data are retained for at least 30 days after uninstall; merchants can request deletion at any time by emailing [email protected] .
Rights. We comply with the GDPR, CCPA and other applicable data‑protection laws. Merchants may request access to or deletion of their data .
By using the Services, you consent to our data‑processing practices. If you are subject to the GDPR or similar laws, you represent that you have legal grounds to process personal data and will provide adequate notices to and obtain any necessary consents from your end customers.
7. Third‑Party Services
The Services interface with Shopify, Mantle, Gadget.dev and Google Analytics . Your use of these third‑party services is subject to their own terms and policies, and Radikal NV is not responsible for their acts or omissions. You are solely responsible for complying with your agreements with Shopify and any other third‑party service providers.
8. Intellectual‑Property Rights in Content
You retain ownership of any data, text, images or other content you submit through the Services (“User Content”). You grant Radikal NV a non‑exclusive, royalty‑free, worldwide license to use, reproduce, display and distribute User Content solely as necessary to provide and improve the Services. You represent that you have all rights necessary to grant this license and that your User Content does not violate any law or infringe any third‑party rights.
9. Warranty Disclaimer
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. RADIKAL NV DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR‑FREE OR SECURE, OR THAT DATA LOSS WILL NOT OCCUR. YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RADIKAL NV AND ITS AFFILIATES, LICENSORS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA OR LOSS OF GOODWILL, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
RADIKAL NV’S TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT OF FEES PAID BY YOU TO RADIKAL NV IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR FRAUD, WILFUL MISCONDUCT OR OTHER LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED.
11. Indemnification
You agree to indemnify, defend and hold harmless Radikal NV and its officers, directors, employees, agents and affiliates from and against any claims, damages, liabilities, losses and expenses (including reasonable attorneys’ fees) arising out of or related to (i) your use of the Services; (ii) your violation of these Terms or any applicable law; or (iii) your User Content.
12. Suspension and Termination
Radikal NV may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or if required by law. You may stop using the Services at any time by uninstalling Fixio from your Shopify store. Upon termination, your right to use the Services will immediately cease, but Sections 3, 5–7 and 9–16 of these Terms will survive.
13. Changes to the Services and Terms
We may modify or discontinue the Services or any portion thereof at any time. We may also modify these Terms. If we make material changes, we will provide notice (for example by email or an in‑app message) and update the “Last Updated” date above. Your continued use of the Services after the changes become effective constitutes your acceptance of the new Terms. If you do not agree to the amended Terms, you must discontinue use of the Services.
14. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Belgium, without regard to its conflicts‑of‑law principles. You agree that the courts located in Brussels, Belgium will have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Services, except where local law provides a different forum.
If you are a consumer residing in the European Union, you may have the right to submit disputes through the EU’s online dispute‑resolution platform (https://ec.europa.eu/consumers/odr/) or to other alternative dispute‑resolution procedures available in your country of residence.
15. Miscellaneous
Entire agreement. These Terms (including any referenced policies) constitute the entire agreement between you and Radikal NV and supersede all prior agreements regarding the Services.
Severability. If any provision of these Terms is found to be unenforceable, the remainder of the Terms will remain in full force and effect.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
No waiver. Our failure to enforce any right or provision will not be deemed a waiver.
Force majeure. We are not liable for any failure to perform due to causes beyond our reasonable control.
Relationship. The parties are independent contractors. Nothing in these Terms creates an agency, partnership or joint venture.
